Ryan’s been called the “central nervous system” of the firm’s business practice group for his ability to coordinate complex matters, anticipate issues, and keep information flowing seamlessly across teams. Ryan’s practice is, and has always been, focused on business and tax law. He is particularly drawn to work that involves high-level analysis and problem‑solving.
Ryan supports attorneys and clients on a wide range of corporate, transactional, and business matters. His practice includes entity formations, governance and compliance matters, mergers and acquisitions, business restructurings, financings, and commercial transactions. He regularly prepares organizational documents, ownership records, transaction documents, closing deliverables, and state and regulatory filings. He also assists with legal due diligence, complex ownership analyses, lien and collateral reviews, and the coordination and assembly of closing books for sophisticated business transactions. His experience also includes supporting secured creditors in foreclosure-related matters and Article 9 sales, where he assists with collateral and lien analysis, notice requirements, transaction documentation, and sale administration.
Ryan works closely with business owners, executives, accountants, lenders, registered agents, and government agencies to help clients navigate complex legal and operational requirements. Known for his attention to detail and practical approach to problem-solving, he assists with matters ranging from routine entity maintenance to sophisticated corporate transactions involving multiple entities, jurisdictions, and stakeholders.
Ryan's introduction to the legal profession came early, providing him with the opportunity to learn the ins and outs of law firm administration and operations. While attending college courses in the evenings, he trained under the supervision and mentorship of experienced attorneys, gaining practical exposure to a broad range of corporate, tax, and transactional matters. Through that experience, Ryan developed a strong foundation in entity management, regulatory compliance, and business operations.
Ryan began his paralegal career at a Portland-area law firm, where he assisted attorneys and clients with the formation and maintenance of business entities, real estate investment structures, and other closely held enterprises. As his experience grew, he became involved in increasingly sophisticated transactions and tax-planning strategies, supporting matters involving captive insurance companies, tax-exempt export corporations (IC-DISCs), and self-directed investment vehicles. Working with a diverse array of entities and ownership structures provided Ryan with a well-rounded perspective on corporate governance, compliance, and business transactions that continues to inform his work today.
