Jeff’s practice focuses on advising and supporting clients in their business and commercial real estate transactions. He regularly advises clients in connection with the acquisition and disposition of real estate assets and business entities, joint ventures and other partnership arrangements, debt and equity financing, and other transactions that meet his clients’ varied needs. Jeff has particular expertise working with real estate owners and operators in connection with the development, financing, leasing and acquisition/disposition of their projects.
COMMERCIAL REAL ESTATE TRANSACTIONS
Represents real estate owners in the acquisition, development, leasing, financing and sale of a variety of real estate assets, including single-parcel build-to-suit developments for national tenants, multifamily residential buildings, office buildings, and shopping centers with outparcel development.
Advises clients regarding the purchase and sale of business entities and/or assets (personal property), joint venture and partnership agreement negotiations, equity investments in companies, entity formation issues, corporate governance, corporate lines of credit, and other business operations, financing, and contracting issues.
Counsels borrowers, financial institutions and private lenders in negotiating and documenting loan transactions secured by real estate, company ownership interests, and other asset and collateral. Transaction structures include term loans, construction loans, distressed loan workouts and restructurings, equity investment and purchases of existing loans.
Extensive experience advising corporate tenants and landlords and tenants in the preparation and negotiation of leases of office, industrial and retail space, including office headquarters leases, ground leases for development by the tenant, and long-term leases to build-to-suit tenants.
